Terms and conditions
Effective date: 1 June 2025
Agreement.
These terms are a contract between you and Semper Technologies Ltd. Creating an account means you accept them.
The service.
Sendozi provides messaging over SMS, email, voice and WhatsApp through a dashboard and API. We deliver messages to networks and providers; final delivery to a handset or inbox depends on parties outside our control, and delivery reports reflect what those parties confirm to us.
Your account.
Accurate information, one person responsible for credentials, prompt notice of unauthorised use. We may require identity or business verification before enabling some features.
Acceptable use.
No spam or messaging without lawful basis; no fraud, phishing or impersonation; no unlawful, harassing or deceptive content; honour opt-outs; comply with network rules, WhatsApp policies and Nigerian law including the NDPA 2023 and NCC regulations. We may suspend accounts that put the platform's routes or reputation at risk, with notice where practicable.
Wallet and payment.
Prepaid wallet, prices as published or as separately agreed; wallet balances do not expire while your account remains active; unused balances are refundable on verified account closure, subject to our verification process; taxes applied as required by law.
Sender IDs and templates.
Registrations are submitted to networks and providers on your behalf; approval is their decision and timing is outside our control.
Intellectual property.
The platform is ours; your content and lists are yours; you grant us only the licence needed to deliver your messages.
Service levels.
The service is provided without a formal SLA on standard plans. We publish platform status openly and work to restore outages promptly.
Liability.
Caps and exclusions to the extent Nigerian law permits. Our aggregate liability is limited to the fees you paid in the preceding 12 months.
Indemnity.
You indemnify us against claims arising from your content, your lists and your breach of these terms.
Termination.
You may close your account at any time; we may suspend or terminate for breach. Sections that should survive, survive.
Governing law and disputes.
Nigerian law. Disputes are subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Changes.
We will give notice of material changes; continued use after the effective date is acceptance.
